AFFILIATE AGREEMENT

3D Relax Affiliate Program

This agreement (hereinafter referred to as the "Agreement") contains the terms and conditions that describe the participation in 3D Relax Affiliate Program (further referred to as "Program") offered by 3D Relax (further referred to as "we").

To become an affiliate of the Program, an applicant must submit a completed form below. We shall evaluate all applications and inform applicants about our acceptance or rejection. We reserve the right to reject the application if we find it unsuitable, the main reasons for this being applicants' web resources promoting discrimination of any kind, violence, or illegal activities. If we accept the application, the applicant then becomes Program affiliate. We also retain the right to terminate the agreement with affiliates at a later date at our sole discretion.

Definitions

Registered Customers are 3D Relax users that register at www.3drelax.com and pay annual membership of 23.99 USD to 3D Relax for having unlimited access to 3D Relax products and services for twelve months from the date of payment. Our users are considered Registered Customers after the payment for our products and services comes through and we receive the anti-fraud system notification that this payment is valid. Referrals are 3D Relax users that come from affiliate web resources and become Registered Customers of 3D Relax.

Commissions are the amounts payable to affiliates by 3D Relax for each referral. The base payout rate is 30% of gross sale, and affiliates thus get the no less than 7.2 USD for each registered customer they send to 3D Relax. Commissions rates may be higher as specified in 3D Relax Affiliate Plan.

Affiliate Plan specifies the rates paid to 3D Relax affiliates that are determined individually based on the number of referrals. Currently 3D Relax offers 30% of an annual membership fee payable to every affiliate for each registered user, 35% of an annual membership fee if the number of referrals is over fifty a month, and 40% of an annual membership fee if the number of referrals exceeds 100 a month.

Tracking

3D Relax uses cookies to track the referrals. Cookies are stored for at least 12 month, so if a user comes from an affiliate site and does not become a registered customer but returns within the next year and pays the membership fee, the affiliate still gets the commission for this referral. If a user does not have cookies enabled, 3D Relax cannot track this user's activities. Also, if a user deletes the cookies manually, 3D Relax is unable to track whether this user was referred by any of the affiliates.

Payments

Payments of affiliate commissions are made by checks that are sent out to affiliates at the end of every month. Checks are made for amounts that exceed fifty US dollars. If the total amount of monthly commissions payable to affiliate is under fifty USD, than the check is sent after the total commission payable to affiliate reaches 50 USD.

3D Relax responsibilities in regard of Affiliate Program

3D Relax handles the process of users registration at www.3drelax.com, processing of payments for using 3D Relax products and services, cancellations of orders, providing customer technical support service and affiliate support service in relation to Affiliate Program.

Affiliate responsibilities in regard of Affiliate Program

Affiliates are solely responsible for operating and maintaining there web sites, using legal and rightful methods of advertising 3D Relax products and services, creating and publishing descriptions of 3D Relax products and services and linking them to 3D Relax web site, the accuracy and up-to-dateness of all materials that advertise 3D Relax products and services, and ensuring that materials posted on the Internet do not violate the rights of any third party and are legal.

Ownership and Licenses

Each party owns and retains all right, title and interest in its logos, names, trademarks, and copyrights, including, without limitation, the logos, names, trademarks, and copyrights, that exist currently or may be developed and/or used by it in the future.

3D Relax grants affiliates a revocable non-exclusive license to use 3D Relax name, logotype, and trademarks solely for the purpose of advertising 3D Relax products and services, and creating links from affiliate web sites to 3D Relax web sites, in compliance with this Affiliate Agreement and during the term of this Agreement. Affiliates may not copy, display, use, distribute, reproduce, modify, or create derivative works on the basis of 3D Relax products and services. Affiliates may not sublicense, assign or transfer licenses to 3D Relax products and service.

3D Relax and affiliates remain independent contractors, and affiliate relations should never be considered as partnership, joint venture, franchise, sales representation or employment. Affiliates are not entitled to make any offers or accept any offers on behalf of 3D Relax.

Term of Affiliate Agreement

The Affiliate Agreement shall continue in effect for one year from the date of 3D Relax acceptance of affiliate application and written notification sent to affiliate of such acceptance. Upon expiration of the Affiliate Agreement, this Agreement is automatically renewed for one successive year, unless terminated by either party in writing.

Upon the termination of the Affiliate Agreement all licenses granted to affiliated by 3D Relax are immediately terminated.

Modification

3D Relax retains the right to modify the terms and conditions of this Affiliate Agreement at any time at our sole discretion. The changes come into effect after they are posted on 3D Relax web site.

Indemnification

Affiliates agree to indemnify, defend and hold harmless 3D Relax and its affiliates, employees and agents, from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable attorneys' fees) relating to the development, operation, maintenance and contents of affiliate web sites.

3D Relax agrees to indemnify, defend and hold harmless affiliates, their employees and agents, from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable attorneys' fees) relating to a defect in any of 3D Relax products and services.

Limitation of Liability

Under no circumstance 3D Relax should be held liable for any indirect, special, consequential or incidental damages (including any loss of revenue, profits or data), arising in connection with this Affiliate Agreement. Under no circumstances the aggregate liability of 3D Relax arising with respect to this Affiliate Agreement will exceed the total commissions paid or payable to an affiliate under this Agreement.
